Mosaic is a paid desktop app sold through Paddle, who handles your invoice and refunds. You get a perpetual license, three devices, twelve months of updates, and the version you bought keeps running forever. EU 14-day refund right plus a 30-day money-back guarantee on top of it.

Two parts. Part A covers the website, your purchase, and Paddle. Part B is the software license itself.


Part A — Service Terms

1. Who we are

We are Barta Gergő (egyéni vállalkozó), operating Mosaic ("we", "us", "our").

By using the website or buying a license you accept these terms. If you don't agree, don't use the service.

2. Paddle is the seller

We sell Mosaic through Paddle.com Market Limited (UK 08172977), acting as our Merchant of Record. Paddle is the seller of record on your invoice, runs the checkout, takes payment, calculates and remits VAT/GST, and processes refunds.

Your purchase is governed by three documents you accept at checkout:

3. Pricing

Current prices and tiers are listed at mosaicterminal.dev/pricing. Paddle displays the local-currency equivalent at checkout and adds VAT/GST per your jurisdiction. The price you see at the moment you submit the order is the price you pay.

The optional update renewal auto-renews unless you cancel before the renewal date in the Paddle Buyer Portal. Paddle sends an advance reminder before each charge. The one-time perpetual license does not auto-renew. If you skip a renewal, you keep using the last version that shipped during your update window forever (see Part B § 1).

Price changes apply only to new purchases and to renewals after the effective date. They do not retroactively affect licenses you have already paid for.

4. Refunds and withdrawal

You have:

  • a 30-day unconditional money-back guarantee on the perpetual license portion of an initial purchase. Any reason, no questions;
  • the EU/EEA/UK 14-day statutory right of withdrawal (Directive 2011/83/EU Art. 9). We give you the full window and do not ask you to waive it under Article 16(m), so you can download, install, and try Mosaic and still withdraw within 14 days.

Annual renewals after the 14-day window are non-refundable once the renewal period begins, except where mandatory consumer law says otherwise. You can cancel future auto-renewal at any time.

These voluntary windows are in addition to and do not limit your statutory rights.

5. Acceptable use

By using the website and support channels you agree not to:

  • attempt unauthorised access to the website, our Paddle integration, or any account that isn't yours;
  • probe, scan, fuzz, or stress-test the website outside a written agreement with us;
  • scrape at a rate that interferes with availability;
  • impersonate us, Paddle, or anyone else in service-related communications;
  • transmit malware, spam, or unlawful content.

Violation can result in suspension or termination of your license, proportionate to the breach.

6. Privacy

See the Privacy Policy. Short version: we don't run a server that sees your code or terminal output. Paddle is an independent controller for your purchase data. We hold your name, email, country, and order info to deliver and validate your license.

7. Governing law and forum

These terms are governed by Hungarian law. Disputes go to the courts of Hungary. If you are an EU consumer, this does not deprive you of your right to sue in the courts of your country of residence (Brussels Ibis Regulation 1215/2012, Art. 18) or of the protection of mandatory consumer rules of your habitual residence (Rome I, Art. 6(2)).

8. Changes

We may revise these terms. Material changes (anything that affects your rights, the license grant, pricing for existing licenses, the liability cap, or governing law) get 30 days' advance notice by email and on the website. Non-material changes (typo fixes, contact updates) take effect on publish. If you don't accept a material change you may terminate and receive a pro-rata refund of any prepaid renewal for the unused period; your perpetual license to the version you owned before the change is unaffected.

Part B — Software License Agreement

This is the license for the Mosaic desktop application (the "Product"). Capitalised terms have the meaning given in Part A.

1. What you receive

Subject to payment and ongoing compliance, we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable license to install and use Mosaic on up to 3 active devices that you own or principally control.

Routine OS reinstalls and hardware replacements within the 3-device count are free at any time.

Security updates are provided for at least 24 months from your initial purchase, plus the duration of any active renewal. We treat this as the "reasonably expectable period" required under HU Government Decree 373/2021 § 17(4) and Directive (EU) 2019/770 Art. 8 for a perpetual desktop license of this kind. This obligation runs independently of your contractual update window.

2. Activation

The Product activates with a license key delivered by email after purchase. Activation status is tracked against your license. To add a device once you hit the 3-device limit, deactivate one inside the Product or in the license-management portal linked from your purchase email.

3. What you may not do

You may not:

  • (a) resell, rent, lease, lend, sub-license, or otherwise transfer the Product or any part of it;
  • (b) create derivative works of the Product or incorporate it into another product offered to third parties;
  • (c) remove, obscure, or alter copyright, trademark, attribution, or proprietary notices;
  • (d) remove or bypass license-management or activation code, share keys, or distribute the Product without authorisation;
  • (e) use the Product to develop a directly competing product (this does not stop you using Mosaic to build unrelated software);
  • (f) use the Product in violation of export-control, sanctions, or anti-money-laundering laws (see § 7).

4. Reverse engineering carve-out

Articles 5 and 6 of Directive 2009/24/EC (transposed in HU Szjt. §§ 59-60) reserve mandatory user rights that we cannot exclude. You keep the right to:

  • observe, study, and test how the Product works to determine its underlying ideas and principles;
  • decompile to the limited extent necessary to achieve interoperability with an independently created program, where the needed information is not otherwise readily available;
  • correct errors necessary for use in accordance with its intended purpose;
  • make a back-up copy needed for use.

We will not treat the lawful exercise of these rights as a breach.

5. Updates and discontinuation

If we stop publishing updates (business cessation, acquisition, or otherwise), we give 90 days' advance notice by email and on the website. Your perpetual fallback license to the last released version keeps working. We continue security updates for the minimum statutory period (§ 1). We provide built-in export tools, or document the on-disk file formats, so you can recover local data created with the Product (workspace layouts, session histories, scheduler tasks, board data) with third-party tools.

6. Third-party AI agents and beta builds

The Product can act as a client to third-party AI coding agents (Claude Code, Codex, Gemini, and others you install yourself). When you configure and use one:

  • the agent runs under its provider's terms and privacy policy, not ours;
  • we are not a controller or processor for the data you send to that provider;
  • we don't warrant the agent's output, availability, or accuracy;
  • you are responsible for complying with the provider's terms.

Beta and pre-release builds are clearly marked and provided as-is, subject to the mandatory consumer-protection rules in § 8 and § 9.

7. Warranty

For consumers, mandatory Hungarian law applies in full and is not excluded or limited by this section:

  • the two-year kellékszavatosság under Government Decree 373/2021. (VI. 30.) and Ptk. §§ 6:159-6:170;
  • the EU Digital Content Directive 2019/770 and its HU transposition;
  • the right of withdrawal (Part A § 4).

For non-consumer use (acquired in the course of a trade, business, or profession), to the maximum extent permitted by law, the Product is provided "AS IS" without warranty of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted operation, or error-free performance. You are responsible for evaluating fitness for your use case and for your own backups.

8. Limitation of liability

Subject to the carve-outs in § 9, our total aggregate liability under or in connection with the Product or the service, whether in contract, tort, statutory duty, or otherwise, shall not exceed the greater of:

  • USD 100, or
  • the total license fees you paid Paddle for the Product in the 12 months before the event that gave rise to the claim.

To the extent permitted by law, we are not liable for:

  • loss of profits, revenue, business opportunity, anticipated savings, goodwill, or reputation;
  • loss or corruption of data (you maintain your own backups);
  • loss arising from third-party services, including AI agent providers integrated with Mosaic;
  • indirect, special, incidental, consequential, exemplary, or punitive damages,

regardless of whether we were advised of the possibility of such damages.

9. Carve-outs we cannot disclaim

Nothing in these terms excludes or limits our liability for:

  • death, personal injury, or harm to life, body, or health caused by our act or omission (Ptk. § 6:152);
  • intentional harm (szándékos károkozás) and, in consumer contexts, gross negligence (Ptk. § 6:152, § 6:526);
  • fraud or fraudulent misrepresentation;
  • any liability that cannot be excluded under applicable mandatory consumer-protection law (HU Government Decree 373/2021. (VI. 30.), the EU Consumer Rights Directive, and equivalents);
  • the EU Software Directive 2009/24/EC Art. 5-6 user rights (§ 4 above).

Where any clause in these terms would otherwise limit a right that mandatory law preserves, read it as modified to the minimum extent necessary to comply.

10. Termination

By you. Stop using and uninstall at any time. No refund except as Part A § 4 and mandatory law provide.

By us, for cause. We may suspend or terminate the license if you materially breach these terms and (where curable) fail to cure within 14 days of written notice. For consumers, suspension is reserved for serious or repeated breaches. On termination for cause, you must uninstall the Product and destroy all copies in your possession.

Your perpetual fallback survives termination for any reason other than cause attributable to you (discontinuation, business cessation, our refusal to renew on offered terms).

11. Assignment

The license is non-transferable, except (i) by the legal succession of a sole proprietor's business, (ii) to your estate or legal heir, or (iii) with our prior written consent. We may assign our rights and obligations to a successor entity (incorporation, merger, sale of the Mosaic business), provided your rights, including the perpetual fallback, are preserved.

12. Export controls

You may not download, install, or use the Product if you are located in, or are a person or entity subject to, comprehensive sanctions administered by the EU, UN, UK, or US (including the OFAC SDN list and the EU consolidated sanctions list). You are responsible for compliance with the export-control and sanctions laws applicable to you in your jurisdiction.
